<p>1.	That [SELLER NAME] (&#8220;Seller&#8221;) is the owner of the full legal and beneficial title<br />
to the Equipment listed on the attached Purchase Agreement hereof (the &#8220;Equipment&#8221;), and all parts, instruments, appurtenances, accessories or other equipment or property installed on or attached to said Equipment.</p>
<p>2.	THAT, for and in consideration of the sum so specified on the Purchase<br />
Agreement, Seller does, this [DATE], grant, convey, transfer, bargain and sell, deliver and set over, all of Seller&#8217;s right, title, and interest in and to the Equipment, and all associated parts, instruments, appurtenances, accessories and/or other equipment or property including Sellers rights and interests in any equipment maintenance agreement(s) entered into and covering the Equipment, unto [BUYER NAME AND ADDRESS] (&#8220;Purchaser&#8221;), and unto its successors and assigns forever.</p>

<p>SAMPLE PROMISSORY NOTE</p>
<p>$XX,XXX.XX					 		  Month_____, 20XX</p>
<p>FOR VALUE RECEIVED Borrower Name, a __________ (&#8220;Borrower&#8221;), promises to pay to the order of the [Lender Name] (&#8220;Lender&#8221;), a _____________, located at ___________, or such other place as the holder of this Note may from time to time designate in writing, the principal sum of Loan Amount and XX/100 Dollars ($XX,XXX.XX), or so much thereof as may be advanced in lawful money of the United States, with interest accruing on the unpaid principal balance from time to time remaining unpaid prior to maturity as follows:</p>
<p>1)	Payments of Principal and Interest.  The principal and interest of this Note shall be payable as follows: </p>
<p>a)	Interest on this Note shall accrue at the rate of XX.XX% per annum and shall be calculated at a daily rate equal to 1/360th of the annual percentage rate that this Note bears, based on the actual number of days elapsed.</p>
<p>b)	A payment representing interest only from the date hereof through the month of Closing Month shall be due and payable on the 1st day of Month after Closing Month 20XX.</p>
<p>c)	Installments of principal and interest in the amount of Monthly P &#038; I Payment and XX/100 Dollars ($X,XXX.XX), shall be due and payable monthly commencing on the 1st day of Month, 20XX, with a like installment due and payable on the first day of each succeeding month thereafter to maturity.  All payments made as scheduled on this Note shall be applied, to the extent thereof, first to accrued but unpaid interest and the balance to unpaid principal. </p>
<p>d)	On the Maturity Date, the entire outstanding principal amount of the original loan amount of Loan Amount and XX/100 Dollars ($X,XXX.XX) shall be due and payable in one balloon payment.</p>
<p>2)	Maturity.  This Note shall mature (i.e., all outstanding principal, together with all accrued interest which has not been paid, shall be due and payable in full) on Maturity Date &#8211; Month, Day, 20XX.</p>
<p>3)	Prepayment.  Provided Borrower is not in default under the terms of this Note, the Security Agreement (as defined below) or any other document evidencing, governing or securing the loan evidenced by this Note (collectively, the &#8220;Loan Documents&#8221;), Borrower may prepay the principal of this Note in whole or in part, at any time, or from time to time, without penalty or premium, and interest shall immediately cease to accrue on any amount so prepaid.  </p>
<p>4)	Partial Payment.  If Lender at any time receives or accepts payment from or for the account of Borrower of less than the full amount when due on this Note, such receipt or acceptance shall, unless Lender expressly agrees otherwise in writing, be deemed a payment on account only, and shall not cure any default existing by reason of failure to pay the full amount when due, nor preclude the exercise of any remedy of Lender including, but not limited to, acceleration of any unmatured portion hereof, or foreclosure on any security.</p>
<p>5)	Security Instrument.  This Note is secured by, among other things, the provisions of a certain Security Agreement (the &#8220;Security Instrument&#8221;) dated of even date herewith, by and between Lender and Borrower, as more fully described in the Security Instrument.</p>
<p>6)	Events of Default and Remedies.  At the option of the holder of this Note, the entire unpaid principal balance of, and all accrued interest on, this Note shall immediately become due and payable upon the occurrence at any time of any one or more of the following (herein referred to as an &#8220;Event of Default&#8221;):</p>
<p>a)	Borrower shall fail to pay the principal of or interest on this Note as and when the same becomes due and payable in accordance with the terms hereof, and such failure shall continue for a period of ten (10) days after receipt of written notice from Lender specifying such failure, provided, however, that Lender shall be obligated to give only one (1) such notice in any calendar year and, after the giving of such one notice, Lender shall be entitled to exercise its remedies upon any subsequent default occurring within such calendar year without any requirement of notice; or</p>
<p>b)	Borrower shall fail to perform any other covenant, condition, obligation or agreement set forth in this Note, the Security Instrument or any other Loan Document, other than as set forth in paragraph 6(a) above.</p>
<p>If an Event of Default shall occur, Lender may (a) declare the entire balance of this Note, principal and interest, immediately due and payable; (b) exercise any rights under the Security Instrument or any other right contained in any other Loan Document; and (c) exercise any other remedy provided by law or equity.  No remedy referred to herein is intended to be exclusive, but each shall be cumulative, and the exercise or beginning of exercise by Lender of any one or more of such remedies should not preclude the simultaneous or later exercise of any or all of such remedies.  Any failure of Lender to exercise any rights or remedies available to Lender if an Event of Default should occur shall not constitute a waiver of Lender&#8217;s right to exercise such rights or remedies in the event of any subsequent Event of Default.</p>
<p>7)	Past Due Interest and Late Charge.  In the event that Payee has not received any installment due under the terms of this note (other than the payments required on the Maturity Date) on or before the date thirty (30) days after the date such installment is due and payable, Maker will be charged, and Maker hereby agrees to pay to Payee, a late charge equal to five percent  (5%) of the amount of such installment then due and payable.  Maker shall be obligated to pay no more than one (1) late charge with respect to any installment, and no late charge shall be imposed on the payments due on the Maturity Date, but all amounts outstanding on the Maturity Date shall accrue interest after the Maturity Date as herein provided.</p>
<p>8 )	Controlling Agreement.  All agreements between Borrower and Lender, whether now existing or hereafter arising and whether written or oral, are hereby limited so that in no contingency or event whatsoever, whether by reason of demand or acceleration of the maturity hereof or otherwise, shall the interest contracted for, charged, received, paid or agreed to be paid to Holder exceed interest computed at the Maximum Rate (as defined below).  If, from any circumstance whatsoever, interest would otherwise be payable to Holder in excess of interest computed at the Maximum Rate, the interest payable to Holder shall be reduced to interest computed at the Maximum Rate; and if from any circumstance Holder shall ever receive anything of value deemed interest by applicable law in excess of interest computed at the Maximum Rate, an amount equal to any excessive interest shall be applied to the reduction of the principal hereof and not to the payment of interest, or if such excessive interest exceeds the unpaid balance of principal hereof, such excess shall be refunded to the Borrower.  All interest paid or agreed to be paid to Lender shall, to the extent permitted by applicable law, be amortized, prorated, allocated, and spread throughout the full period until payment in full of the principal (including the period of any renewal or extension hereof) so that the interest hereon for such full period shall not exceed interest computed at the Maximum Rate.  This section shall control all agreements between Borrower and Lender.  The term &#8220;Maximum Rate&#8221; shall mean the highest lawful rate of interest applicable to the loan transaction evidenced by this Note taking into account whichever of applicable federal law or Texas law permits the higher rate of interest, and after also taking into consideration all compensation deemed interest under applicable law.</p>
<p>9)	Waiver.  Except as expressly otherwise provided for herein, Borrower and all other parties now or hereafter liable or responsible for the payment of this Note, whether as endorser, guarantor, surety or otherwise, severally waive demand, presentment, presentment for payment, notice of intent to demand, notice of nonpayment, notice of dishonor, diligence in collecting, grace, notice (including notice of intent to accelerate and notice of acceleration) and protest and consent to all renewals and extensions that from time to time may be granted by the holder of this Note and to all partial payments herein, whether before or after maturity.  Borrower hereby further agrees that no act or omission of Lender with reference to any property securing or intended to secure this Note, including but not limited to failure to file or perfect any lien or security interest, shall release the absolute obligation of Borrower and each such endorser, guarantor or surety to pay this Note as and when due.</p>
<p>10)	Cumulative Rights.  No delay on the part of Lender or other holder of this Note in the exercise of any power or right under this Note, under the Security Instrument, or under any other Loan Document, shall operate as a waiver thereof, nor shall a single or partial exercise of any power or right preclude other or further exercise thereof or exercise of any other power or right.  Enforcement by Lender or other holder of this Note of any security for the payment hereof shall not constitute any election by it of remedies so as to preclude the exercise of any other remedy available to it.</p>
<p>11)	Attorneys&#8217; Fees and Costs.  If this Note or any installment or part hereof is not paid when due and the same is placed in the hands of an attorney for collection, or if this Note is collected by suit or through bankruptcy, probate or other proceedings, Borrower agrees to pay the reasonable attorneys&#8217; fees of the holder of this Note, together with all actual expenses of collection and litigation and costs of court incurred by the holder of this Note.</p>
<p>12)	Notices.  Any notice or demand required or to be given hereunder shall be in writing, and shall be deemed to have been given and received when deposited in a post office or official depository of the United States Postal Service, sent by certified mail, postage prepaid, return receipt requested, addressed as follows:</p>

In case any of the provisions of this Note shall for any reason be held to be invalid, illegal or unenforceable, such invalidity, illegality or unenforceability shall not affect any other provision hereof and this Note shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.</p>
<p>14)	GOVERNING LAW.  THIS NOTE SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF _____________ AND THE LAWS OF THE UNITED STATES APPLICABLE TO TRANSACTIONS IN _____________.</p>

<p>NON-DISCLOSURE AGREEMENT<br />

A. <p>OPERATIVE PROVISIONS</p>

In consideration of the disclosure of Proprietary Information by the Disclosing Party, the Receiving Party hereby agrees: (i) to hold the Proprietary Information in strict confidence and to take all reasonable precautions to protect such Proprietary Information (including, without limitation, all precautions the Receiving Party employs with respect to its own confidential materials), (ii) not to disclose any such Proprietary Information or any information derived therefrom to any third person, (iii) not to make any use whatsoever at any time of such Proprietary Information except to evaluate internally its relationship with the Disclosing Party, and (iv) not to copy or reverse engineer any such Proprietary Information. The Receiving Party shall procure that its employees, agents and sub-contractors to whom Proprietary Information is disclosed or who have access to Proprietary Information sign a nondisclosure or similar agreement in content substantially similar to this Agreement.</p>
<p>2.	Without granting any right or license, the Disclosing Party agrees that the foregoing shall not apply with respect to any information after five years following the disclosure thereof or any information that the Receiving Party can document (i) is or becomes (through no improper action or inaction by the Receiving Party or any affiliate, agent, consultant or employee) generally available to the public, or (ii) was in its possession or known by it prior to receipt from the Disclosing Party as evidenced in writing, except to the extent that such information was unlawfully appropriated, or (iii) was rightfully disclosed to it by a third party, or (iv) was independently developed without use of any Proprietary Information of the Disclosing Party. The Receiving Party may make disclosures required by law or court order provided the Receiving Party uses diligent reasonable efforts to limit disclosure and has allowed the Disclosing Party to seek a protective order.</p>
<p>3.	Immediately upon the written request by the Disclosing Party at any time, the Receiving Party will return to the Disclosing Party all Proprietary Information and all documents or media containing any such Proprietary Information and any and all copies or extracts thereof, save that where such Proprietary Information is a form incapable of return or has been copied or transcribed into another document, it shall be destroyed or erased, as appropriate.</p>
<p>4.	The Receiving Party understands that nothing herein (i) requires the disclosure of any Proprietary Information or (ii) requires the Disclosing Party to proceed with any transaction or relationship.</p>
<p>5.	The Receiving Party further acknowledges and agrees that no representation or warranty, express or implied, is or will be made, and no responsibility or liability is or will be accepted by the Disclosing Party, or by any of its respective directors, officers, employees, agents or advisers, as to, or in relation to, the accuracy of completeness of any Proprietary Information made available to the Receiving Party or its advisers; it is responsible for making its own evaluation of such Proprietary Information.</p>
<p>6.	The failure of either party to enforce its rights under this Agreement at any time for any period shall not be construed as a waiver of such rights. If any part, term or provision of this Agreement is held to be illegal or unenforceable neither the validity, nor enforceability of the remainder of this Agreement shall be affected. Neither Party shall assign or transfer all or any part of its rights under this Agreement without the consent of the other Party. This Agreement may not be amended for any other reason without the prior written agreement of both Parties. This Agreement constitutes the entire understanding between the Parties relating to the subject matter hereof unless any representation or warranty made about this Agreement was made fraudulently and, save as may be expressly referred to or referenced herein, supersedes all prior representations, writings, negotiations or understandings with respect hereto.<br />
7.	This Agreement shall be governed by the laws of the jurisdiction in which the Disclosing Party is located (or if the Disclosing Party is based in more than one country, the country in which its headquarters are located) (the &#8220;Territory&#8221;) and the parties agree to submit disputes arising out of or in connection with this Agreement to the non-exclusive of the courts in the Territory.<br />

<p>Access to legal contract agreements has become much easier with the internet and we will look at that in more detail. It is also possible to find samples and templates in the library or any of the larger book stores. Regardless of the source, you will want to verify that the documents you are contemplating using are applicable to and legally binding in your location. </p>
<p>There are a few sites that provide legal document templates for free such as www.printablecontracts.com. Their selection revolves primarily around personal service agreements While these documents should work for most circumstances, they are not location specific and challenges could lead to questions of enforceability.</p>
<p>Some sites (ex: www.legalforms.com ) offer ancillary services such as the opportunity to have a question answered by an attorney online or provide document packages for areas such as personal life planning. Sites like www.biztree.com try to cover as many areas of legal concern as possible, with over 1,500 templates that can be downloaded.</p>
<p>Several websites( www.allbusiness.com or www.businessnation.com ) focus on business transactions from personal to small business. Many of these sites provide access to templates that can be sorted by state and subject matter. These documents can then be downloaded to a printer or file.</p>
